Terms of service
Draft terms for using Invecho.
1. Status and operator
DRAFT — PROFESSIONAL LEGAL REVIEW REQUIRED BEFORE PRODUCTION LAUNCH. These terms are a starting structure and are not final contractual terms. Operator: [insert legal business name and ABN if applicable]. Contact: [insert monitored email]. Effective date: [insert date]. Replace all placeholders and confirm the terms reflect actual subscription and application behaviour.
2. The service
Invecho connects to Xero and supports automated overdue invoice follow-up by SMS, reply interpretation and predefined chasing rules. Invecho is not an accounting system, does not replace Xero, does not hold invoice payments, and does not provide debt-collection legal services or guarantee payment. Xero remains the source of truth for invoices, balances and payment status.
3. Accounts and responsibilities
You must provide accurate account information, safeguard your credentials and authorise only appropriate users to access your organisation. You are responsible for the accuracy of connected information, chasing settings, SMS templates and instructions you give the service. Notify us of suspected unauthorised access using the final support contact.
4. Xero connection
You must be authorised to connect the relevant Xero organisation and provide the data necessary to operate the service. Access depends on a valid Xero connection and the availability of Xero services. You may revoke access in accordance with the available connection controls. [Confirm disconnection behaviour and its effect on existing chases.]
5. Authority to contact customers
You must have appropriate authority and any required consents to provide contact information and instruct SMS communications. You are responsible for ensuring invoice follow-up is accurate, lawful and appropriate and for handling disputes and customer requests. Do not use Invecho to harass, threaten or mislead recipients, or to chase sums you are not entitled to claim. [Have counsel review Australian communications, privacy and debt-collection obligations.]
6. Reply interpretation and automation
Invecho uses AI-based interpretation with structured automation rules. Interpretations can be incomplete or incorrect. Review matters flagged for attention, including disputes, payment requests and claimed payments. A customer’s claim to have paid is not proof of payment. You retain control of chasing and responsibility for business and accounting decisions.
7. Subscription billing
Paid plans are billed monthly in AUD. Current prices, included SMS allowances and overage rates are listed on the pricing page. Stripe processes subscription payments. [Confirm GST treatment, billing dates, renewal notices, refunds, failed-payment handling and the process for price changes before launch.] No annual plans are offered.
8. SMS usage and overages
Additional outbound SMS are billed at the plan’s published overage rate. Longer SMS messages may be delivered as multiple SMS segments and can count as more than one message toward usage. Unused SMS do not roll over. [Confirm usage measurement, overage billing timing and spending controls.]
9. Free trial
The trial lasts 14 days, includes 25 outbound SMS and requires no credit card. There is no automatic charge at trial expiry. [Confirm trial eligibility, expiry behaviour, data retention and the steps required to select a paid plan.]
10. Acceptable use
Do not use the service for unlawful communications, spam, harassment, unauthorised data access, security interference or any purpose outside authorised invoice follow-up. Do not upload information you are not entitled to process or attempt to access another organisation’s data.
11. Availability and third-party services
Service availability depends on hosting, Xero, SMS networks and other third-party providers. Delays, maintenance and interruptions may occur. SMS delivery and payment timing are not guaranteed. [Confirm maintenance communications, support arrangements and any service commitments.]
12. Cancellation and termination
Monthly plans can be cancelled. [Specify the cancellation method, effective date, access through the end of a billing period, outstanding SMS charges and any refund rules.] The final terms should describe proportionate suspension or termination for misuse, non-payment or security issues, with any applicable notice and opportunity to remedy. [Confirm export and deletion arrangements after termination.]
13. Intellectual property
Invecho and its licensors retain rights in the service and its software. You retain your rights in the information you provide and authorise its processing only as necessary to deliver the service and meet applicable obligations. Xero and other third-party names remain the property of their respective owners.
14. Limitations and statutory rights
No exclusion or limitation should remove rights that cannot lawfully be excluded. [Australian legal counsel must draft appropriate warranties, liability limits, indemnities and Australian Consumer Law provisions for this service. No liability cap is proposed in this placeholder.]
15. Governing law and disputes
[Insert the appropriate Australian state or territory and dispute-resolution process after legal review.] Do not treat this placeholder as a final governing-law or jurisdiction clause.
16. Changes and contact
[Specify how users will be notified of material changes and when they take effect.] Questions about these terms should be sent to [insert monitored contact email].
